You declare that you are at least 18 years old and have no legal impediment to entering into contracts. .
"Guests" – any person you invite or allow to use WePong Spaces or communicate with WePong Coaches, whether that person has registered for a WePong account or not. .
"WePong Spaces" – any physical location, booth, area, or place to which WePong grants you access for the purpose of playing ping pong. In addition to these Terms, you agree to be subject to any additional terms, restrictions, and policies provided or published by the property owner, tenant, and property manager of WePong Spaces, including security procedures, access to information systems, and other procedures as provided by property managers. .
"WePong Coaches" – the individuals who offer you or your guests ping pong coaching services through the WePong Platform. WePong does not guarantee that WePong Coaches will meet your needs or guarantee any training results. .

To use the Services, you must create a WePong account using the App at https://app.pingpod.com ("Account"). You are responsible for ensuring your guests also register for a WePong account. (For example, when making a reservation, you may invite a guest to join you, and you must ensure that person creates an account with us.) .
You agree not to allow entry to WePong Spaces or use of the Services by any person who has not registered for an account with us. .
You may not permit others to use your WePong account and may not assign or transfer your account to another person or entity. You are responsible for all activity occurring under your account. .
When creating an account, you will be required to provide certain personal information, including your name. To access the Services, you will need to provide additional information such as your email address, mobile phone number, and credit card details. We use a third-party payment processor, Stripe ("Payment Processor"), to process payments or credits related to your use of the Services. Your payment is subject to the terms and privacy policy of the Payment Processor and your card issuer. WePong is not responsible for any errors, omissions, or damages caused by the Payment Processor. You agree to keep your account information complete, accurate, and up to date. Not updating information, including an invalid or expired credit card, may result in denial of access to the Services. .
WePong reserves the right to suspend or cancel your account and refuse any current or future use of the Services, if you or your guests violate the Terms, provide false, inaccurate, outdated, or incomplete information, or if WePong has reasonable grounds to suspect so. You may not use the Services for any unlawful purpose or in a manner contrary to the Terms. .
You may not: (i) license, sell, transfer, distribute, or offer the Services to any third party; (ii) modify or create derivative works of the platform; (iii) create links, frames, or mirrors to the platform; (iv) reverse engineer or access the system to build a competing product; (v) operate automated software such as robots, spiders, etc., that overload or impair the platform's operation. .
You may not: (i) send spam or duplicate/unwanted messages; (ii) send or store offensive, threatening, obscene, illegal, or harmful content to children or violate privacy; (iii) send or store harmful code such as viruses, worms, trojans; (iv) interfere with the operation of the platform or spaces; (v) attempt to gain unauthorized access to systems. .
WePong may investigate and prosecute violations and cooperate with law enforcement authorities. You are not entitled to monitor your access or User Content, but WePong may do so to operate the Service, ensure compliance with the Terms, or comply with law or court order. WePong may remove or restrict access to any User Content at its discretion. .
Subject to your consent, WePong will send you SMS messages regarding your reservations and use of spaces and for marketing purposes. Message and data rates may apply. .
If you change your mobile provider, you may need to re-register to receive SMS messages. WePong may stop sending messages at any time; you can unsubscribe by sending the word "STOP"—the removal will take effect within seven days. Please note that unsubscribing may prevent you from receiving essential information for using the Services, such as access codes. .
When using the WePong Platform and WePong Spaces, you may contact, purchase products, or participate in promotions from service providers, advertisers, or sponsors displaying their products via the platform, spaces, or coaches. Any such activity, and its terms, are between you and the provider only. WePong is not responsible for any activity, purchase, service, or promotion between you and any third party. WePong does not endorse sites linked via the platform or spaces and is not responsible for the content, products, services, or materials from those sites. WePong provides the Services under this agreement. Some providers may require a separate or different agreement as a condition for using their products, and WePong disclaims responsibility for those agreements. .
WePong may rely on third-party advertising and marketing to fund the platform or spaces. By agreeing to these Terms, you consent to receiving advertising and marketing. If you do not wish to receive this, you must notify us in writing. You are responsible for exercising caution in any interaction with a third party via the platform or spaces. .
You agree to release, defend, and indemnify WePong and its officers, agents, subsidiaries, employees, property owners, tenants, and service providers against any claim, demand, loss, liability, cost, expense, obligation, or damage of any kind, including reasonable attorney's fees, arising from: (1) your or your guests' use of the Service; (2) breach of these Terms; (3) violation of law or third-party rights; (4) any claim for damage you or your guests caused to WePong Spaces. This obligation survives the termination of the Terms and your use of the platform. .
We provide the Service and all content, materials, information, software, and products included in it "as is", "where is", and "as available". ".
To the maximum extent permitted by law, WePong disclaims all representations and warranties, express or implied, regarding the Services, including fitness for a particular purpose, copyright, title, performance, suitability, security, or accuracy; and does not warrant that the quality of the Services will meet your requirements. All risk from your use of the Services and third-party services or products is solely yours. .
You acknowledge and agree: (a) that any locking mechanism, if provided, is from a third party, and WePong is not responsible for any malfunction or loss; (b) WePong Spaces are located in buildings not owned by WePong and no representations or warranties are made regarding them. WePong does not guarantee the suitability of the spaces for any particular activity and is not responsible for activities conducted therein. .
We do not guarantee that the platform will operate uninterrupted or error-free, that it will always be available, secure, free of faults or bugs, including hardware failures. .
Neither we nor you will be liable for circumstances beyond our control, such as force majeure, power outages, communication failures, theft, war, terrorism, or labor disputes. .
WePong and its officers, members, employees, suppliers, subcontractors, agents, and property owners shall not be liable for any direct, indirect, incidental, consequential, or other damages (including loss of profits and loss of data), expenses, and payments arising from your use of or inability to use the Services, employee errors, reliance on service content, rejection or cancellation of account, or storage, deletion, disclosure, or loss of your content on the platform. .
In any case, WePong's total liability shall not exceed the amount paid by you to WePong in the six months preceding the claim, or $50 USD, whichever is higher. You understand and agree that any download of content or data is at your own risk, and you are responsible for any damage to your system or data loss. .
To the extent required by local law, nothing in this agreement limits WePong's liability in case of death or injury resulting from its gross negligence. .
Your use may be subject to local, state, national, or international laws, and rights may vary by location. Not all limitations and exclusions will apply everywhere. Any section here will be unenforceable only if prohibited by applicable law. .
WePong may send you notices by email to the address registered with us, or by mail to the address on file. You may send a notice, complaint, or claim to WePong at any time by email to terms@wepong.com (the notice will be deemed received upon receipt by WePong).
These Terms are governed by the laws of the State of Israel and the applicable laws of the state of Israel, without regard to principles of conflict of laws. The parties agree to the exclusive jurisdiction of the courts in Tel Aviv, for any dispute related to WePong. .
In the event of a dispute or claim relating to these Terms or WePong and the Services, you agree that it will be resolved by arbitration before a single arbitrator appointed by the Israeli Court. The place of arbitration shall be Tel Aviv. Neither you nor we will have the right to litigate in court, except as provided by the arbitration rules. You will not have the right to participate in a class action. Additional rights available in court will not be available in arbitration. Except for the right of appeal, if any part of this section is deemed illegal, the entire arbitration clause (except this sentence) will not apply. .
WePong may, at its discretion and for any reason, terminate your account, delete the account or any part of it, or your User Content. WePong may stop providing access to the Services or part thereof, at any time and without notice. You agree that WePong has no liability to you in such case. These remedies are in addition to any other remedy. .
You may terminate your account at any time by deleting the App, ceasing use, or contacting WePong by email at terms@wepong.com.
No partnership, employment, or agency relationship exists between the parties. You may not assign the Terms (in whole or in part) without WePong's approval. WePong may assign the Terms without your consent (in whole or in part) to an affiliate, acquiring company, or merger successor. Any assignment contrary to this section is void. Any invalid provision shall be deleted and the remainder enforced. Failure to enforce a right is not a waiver unless expressly stated in writing. The Terms constitute the entire agreement between you and WePong and supersede all prior agreements. .
You undertake to comply with all guidelines from authorities and from WePong ("Guidelines") to prevent the spread of the coronavirus and to report to WePong immediately if you become aware of the presence of a carrier or breach of the guidelines. .
You acknowledge that WePong does not guarantee spaces free of the virus or the absence of carriers. Subject to law, you release WePong, its officers, and employees from any liability, damage, claim, or cost related to your activity in the spaces or to the coronavirus, and grant WePong and its representatives a full release from any existing or future claim. You agree that WePong shall have no liability to you or your guests, whether contractual, tort, or otherwise, for any direct, indirect, special, consequential, exemplary, or punitive damage, or for any loss, profits, or income, related to your activity in WePong Spaces regarding COVID-19.
